These Terms of Service (“Terms”) govern the relationship between you (“Client”) and RJS 639 LLC, doing business as Compare Private Capital (“Company,” “we,” “our,” or “us”). By engaging our services, you agree to these Terms.
The Company provides business advisory services that may include:
Due diligence review of client-provided information.
Financial and valuation analysis.
Determination of potential capital solutions based on specific business conditions.
Sourcing potential capital providers for client financing needs.
Important: We do not provide legal, tax, or accounting advice. All information provided represents our opinions and recommendations only and should not be relied upon as a substitute for professional advice from licensed advisors.
Our services are free of charge to the Client.
The Company receives compensation solely from capital providers in the form of a referral fee, typically between 1%–5% of the deployed capital. The Client has no obligation to pay us directly for any services rendered.
While we strive to recommend optimal capital solutions, the Company makes no guarantee that financing will be secured, that terms will be favorable, or that the results of any financing obtained will meet Client’s expectations.
The Client acknowledges and agrees:
To provide accurate and complete information necessary for analysis and sourcing of capital.
To conduct its own independent due diligence prior to entering into any financial obligations.
To consult with its own financial, legal, tax, and accounting advisors before making decisions.
Client agrees to indemnify, defend, and hold harmless the Company, its members, officers, employees, and affiliates from any and all claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from Client’s use of our services or from financing obtained through capital providers.
The Company shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages, even if advised of the possibility of such damages.
All recommendations and analyses provided by the Company are non-binding opinions only.
The Company agrees to maintain the confidentiality of all non-public Client information provided, except as necessary to perform services, including disclosing information to potential capital providers.
The Company reserves the right to terminate services at any time, with or without cause. The Client may also discontinue engagement with the Company at any time.
These Terms shall be governed by the laws of the State of Wyoming, USA.
Any dispute arising under or related to these Terms shall first be submitted to good-faith mediation in Wyoming. If mediation fails, the dispute shall be resolved by binding arbitration in Wyoming under the rules of the American Arbitration Association.
These Terms constitute the entire agreement between the Client and the Company regarding the services provided and supersede any prior agreements, understandings, or communications.
